Peter provides legal services to businesses seeking timely, specific advice about particular matters, as well as advice for long-term business operations and succession plans.

His practice includes assisting individuals in selecting the type of entity best suited for their purposes; making the necessary filings with the State of Florida to create the appropriate entity; preparing articles of incorporation, articles of amendment, shareholder agreements or membership agreements.  Some of the common types of business entities include corporations, limited liability companies, and partnerships.

Peter advises clients seeking to acquire other business by drafting and negotiating purchase and sales agreements and merger agreements.

He also provide services related to winding-down operations, including matters arising from a dispute between owners, a decision to spin-off certain operations, or the death or resignation of a principal.  This area of practice includes preparing for the dissolution of closely held companies; preparation and review of purchase and sales agreements; accountings; valuations; and legal actions to pursue available remedies or to enforce agreements related to dissolution.

Peter handles litigation arising out of business relationships between individuals and between businesses, including dissolution of companies; corporate accountings; breach of contract actions; breach of employment contracts, including confidentiality and non-compete provisions; disputes arising out of non-payment for goods and services, and for delivery or performance of non-conforming (defective) goods and services; pursuing delinquent accounts; debt collections; and post-judgment remedies.

Peter drafts and reviews individual employment contracts, including confidentiality and non-compete provisions, and has particular experience representing wholesale student-housing furniture distributors and buyers through the Southeast.
